The Company has appointed a Corporate Secretary to act as a liaison between the Company and the capital market institutions as well as the public. The Corporate Secretary’s term of office is reviewed from time to time in accordance with the Company’s GCG and HR policies.

Ms. Endah R. Madnawidjaja has performed the role   of Corporate Secretary since November 19, 2007 in accordance with the Decision Letter of the BOD dated November 19, 2007. Her appointment as Corporate Secretary was reported to Indonesia  Financial Services Authority (Otoritas Jasa Keuangan or “OJK”) (not announced given that it was not required by the regulation).

Ms. Endah R. Madnawidjaja is based in Jakarta. She graduated in law, majoring in Economic Activities Law,  from the University of Indonesia. Prior to joining the Company, she had been a Legal Consultant of Lubis, Ganie, Surowidjojo law firm (1995-2007).

In 2019, she participated in various training programmes, workshops and seminars, including “Socialization of Amendment of Rule Number I-A concerning Listing of Shares and Equity-Type Securities Other Than Shares Issued by Listed Companies and Implementation of Special Notation” on January 10, 2019, ”The Socialization of the ASEAN Corporate Governance Scorecard (ACGS)” on January 30, 2019, “Seminar of POJK Number 36/POJK.04/2018 Concerning Procedures for Examination in the Capital Market  Sector”  on February 12, 2019, “Economic and Political Discussion” on March 14, 2019, “Seminar on the Theme of an Effective GCG Implementation Strategy with the Tasks of Corporate Secretary and POJK Number 21/POJK.04/2014 Concerning the Implementation of Guidelines for Public Corporate Governance” on July 2, 2019, “Indonesia’s Preparation in Facing Global Economic Turbulence: Awaiting the Breakthrough of the Indonesian Cabinet Economic Team  Forward” on November 12, 2019 and “Update  on Indonesia’s Economic Outlook 2020” on December 9, 2019.

In 2019, the Corporate Secretary carried out the following activities and responsibilities:

  • Advised the BOD on compliance with prevailing regulations and ensured timely reporting to the capital market authorities in the form of public disclosure through the Integrated Electronic Reporting Systems for Issuers and Public Companies;
  • Communicated regularly with the capital market authorities on the Company’s corporate governance policies and corporate actions;
  • Administered and took minutes of the proceedings of the BOD and the BOC meetings;
  • Conducted the Company’s orientation programme for the incoming BOC and BOD members; and
  • Advised the BOD on the changes and developments of prevailing capital market regulations, and their implications to the Company.
